End User License Agreement

1. License grant

We grant you a limited, non-exclusive, non-transferable, revocable license to install and run the Software on Windows devices, for the number of seats or machines permitted by your license tier.

2. Activation and license checks

The Software requires activation with a valid license key and may periodically verify the license against our servers using a hashed hardware identifier. Interfering with these checks terminates the license.

3. Restrictions

You may not:

• copy the Software except as reasonably necessary for backup;
• modify, translate, adapt or create derivative works of the Software;
• reverse engineer, decompile or disassemble the Software, except where such restriction is prohibited by law;
• remove or alter proprietary notices, or bypass technical protection measures;
• rent, lease, lend, sell, sublicense or redistribute the Software.

4. Updates

The Software may download and install updates automatically. Updates are covered by this EULA unless accompanied by separate terms. Some updates may be required for continued operation of licensed features.

5. Third-party components

The Software includes third-party and open-source components licensed under their own terms. The relevant notices are distributed with the Software. Nothing in this EULA limits your rights under those licenses.

6. Ownership

The Software is licensed, not sold. FarmPanel Systems and its licensors retain all right, title and interest in the Software, including all intellectual property rights.

7. Term and termination

This EULA is effective until terminated. It terminates automatically if you breach it. Upon termination you must stop using the Software and delete all copies. Provisions on ownership, warranty disclaimer and liability survive termination.

8. Warranty disclaimer

The Software is provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, FarmPanel Systems shall not be liable for any indirect, incidental, special or consequential damages arising from the use of, or inability to use, the Software. Our aggregate liability shall not exceed the license fees you paid in the twelve months preceding the claim.
